Our client, one of Nigeria's major conglomerates, is looking to hire an Associate, Governance and Sustainability who will provide operational and analytical support to the Head, Governance and Sustainability in executing the Group's governance, corporate secretarial, sustainability, and social impact agendas. The role supports the implementation of governance frameworks, Board and Committee activities, regulatory compliance, ESG and CSR initiatives, and cross-functional coordination with portfolio companies and other departments.

This position requires strategic thinking, attention to detail, excellent coordination skills, and a strong understanding of corporate law, governance principles, and sustainability practices.

Responsibilities


Support the implementation of the company's governance framework, ensuring timely and accurate execution of all governance and company secretarial responsibilities.
Prepare and file statutory documents, returns, and other required submissions with regulators such as the CAC, SEC, and NGX.
Assist with the planning, scheduling, and coordination of Board, Committee, and Annual General Meetings across HGL and portfolio companies.
Draft, review, and proofread minutes, resolutions, and governance-related documentation to ensure quality and compliance with Group standards.
Manage all correspondence and recordkeeping related to company secretarial matters, ensuring proper documentation and retrieval.
Support the implementation of Board and Director learning and development programmes across portfolio companies.
Work with Finance and HR teams to ensure timely processing of sitting allowances, reimbursements, and other benefits for Directors and Committee members.
Track legal and regulatory developments, summarising updates and implications for the Head, Governance and Sustainability.
Assist in setting up and maintaining internal governance infrastructure such as Investment Committees, Remuneration Committees, and other oversight bodies.
Provide support in implementing sustainability and ESG strategies, including data gathering, analysis, and preparation of reports.
Contribute to the planning and execution of CSR initiatives and support coordination with the company's Foundation.
Monitor ESG metrics and ensure consistency in reporting across the Group and portfolio companies.
Liaise with internal and external stakeholders, including regulators, portfolio companies, and consultants, to facilitate smooth information flow and compliance.
Provide general administrative and project management support to ensure the timely delivery of departmental priorities.
Support the Legal and Commercial teams on an as-needed basis with contract drafting or reviews.


Qualifications


First degree in Law (LL.B).
Admission to the Nigerian Bar with valid registration at the Supreme Court of Nigeria.
Minimum of 7 years' post-call experience in company secretarial and governance functions.
Membership or student membership of ICSAN (or equivalent professional body) will be an added advantage.
