Our client is a leading corporate governance advisory firm that partners with organizations to strengthen governance frameworks and ensure statutory compliance. They provide expert company secretarial services, board and shareholder meeting administration and corporate governance advisory, enabling businesses to operate efficiently while meeting regulatory requirements.
They are looking for a Company Secretary Associate who will assist in managing company secretarial responsibilities by ensuring compliance with legal and regulatory requirements, supporting board, committee, and shareholder meetings, maintaining statutory records and delivering high-quality governance support to clients.
Key Responsibilities
Support the delivery of company secretarial services, including board, committee and shareholder meetings
Prepare meeting agendas, minutes, resolutions, action logs and governance reports within agreed timelines
Manage company incorporations, statutory filings, annual returns and regulatory changes with relevant authorities
Maintain statutory registers, compliance records and governance documentation
Respond to client queries and provide professional company secretarial support
Support board evaluations, board inductions and governance training assignments
Assist in onboarding new clients and identifying opportunities for additional services
Support the finance team with debt collection and proposal preparation where required
Guide and support junior associates, ensuring adherence to internal processes and quality standards
Assist with company restructures, including company wind-ups and other corporate governance assignments
Qualifications & Experience
Bachelor's Degree in Law, Commerce, Business Administration, or a related field.
Must be a registered member of the Institute of Certified Secretaries (ICS) with a valid Practicing Certificate.
Minimum of 3 years' experience in a busy company secretarial or corporate governance environment.
Strong knowledge of statutory compliance, company secretarial practice, and meeting management.
Excellent report writing, minute-taking, and communication skills.
Strong client relationship management skills with a high level of professionalism and attention to detail.
Demonstrated knowledge of the Companies Act, corporate governance principles, and regulatory requirements governing companies in Kenya
