About the Role
We are seeking a highly experienced and strategic fractional Chief Financial Officer (CFO) to join our team. The fractional CFO will be responsible for managing financial and legal processes, investor relations, fundraising support, and reporting, and will report directly to the Managing Partner. We expect this role to take 4 days a month.
What you will do
Fund Administration and Financial Reporting
Manage the firm's outsourced back-office relationship with Carta, accountants, auditors, and tax advisors
Review and maintain oversight of quarterly fund financials produced by Carta, ensuring accuracy and completeness before publishing to LPs. This includes reviewing bank reconciliations, approving management fees, statement of investments and reviewing quarterly financial statements.
Prepare quarterly financial performance presentations for LPAC quarterly meetings
Reviewing monthly financial statements for the management company of the fund
Prepare and manage budgets and cashflow forecasts for the fund and management company
Ensure adequate and cost-effective insurance coverage
Maintain and expand financial controls
Manage firm's expenses, vendor relationships, and pay invoices
Manage relationship with bank (Bank of America)
Audit portfolio company D&O insurance policies for compliance with requirements
Legal and Compliance
Manage statutory and tax compliance of all legal entities of the Fund and Management company
Coordinating the annual audits and managing the drafting of annual financial statements in compliance with both GAAP and IFRS
Reviewing tax returns prepared by the Tax advisors, and coordinating with Carta to send out 1099s, K1s
Manage the compliance policy of the fund and ensure adherence, ensure firm's compliance with applicable regulatory requirements for Delaware-based funds filed as ERA-ADV
Prepare and review legal agreements for startups' investments
Ensure firm is in full compliance with applicable regulatory requirements and government filings
Coordinate with outside counsel on ad-hoc legal matters
Investor Relations
Coordinate/support legal processes for fundraising, including final execution of all LP documents, and assist with diligence requests during fundraising
Respond to ad-hoc LP requests regarding capital calls, commitments, compliance, tax, and other related matters
Liaising with Carta on all investor-related matters (i.e. KYC, sending onboarding documents etc)
Qualifications & Requirements
Bachelor's Degree required, MBA or CFA preferred
CPA or mastery of accounting preferred
5+ years of experience in the financial operations of a VC, PE, or hedge fund,
Knowledge of US VC funds and the regulatory environment is a must
Knowledge of Carta or other fund management software preferred
Private company valuation experience preferred
Outstanding written and verbal communication skills
Highest degree of integrity, professionalism, ethics, and maintenance of confidentiality
