General:
Advice and provide guidance on all Legal & Compliance matters across jurisdictions
Lead complex contract negotiations and high-value transactions and recommend pragmatic, business-aligned solutions
Implement policies, principles and strategy developed at Global & Regional level
Advise senior stakeholders on high-impact legal, regulatory, and reputational issues
Partner with extended leadership teams to drive business strategy
Establish governance frameworks and best practices across markets
Mentor Legal Counsel (if any) and manage external counsel spend
Manage regulator engagement in key jurisdictions
Compliance Role:
Act as role model for Compliance and promote the topic
Educate and hold accountable the business on legal and compliance obligations
Assist MUD to implement annual CMS targets
Oversee internal investigations and regulatory escalations
Implement Global Guidelines and
Implement corporate training material and ensure communication on compliance topics
Encourage reporting of compliance concerns and manage incidents
Ensure correct, timely and complete legal & compliance reporting
Support crisis management and reputational risk mitigation
Company Secreteriat:
Maintain each affiliate governance documents and records locally and on One Sense
Prepare and manage: AGMs, board packs, agenda, minutes, resolutions, action points
Ensure compliance with local company's act and statutory requirements such as King V (SA) on corporate governance
Manage entity filings and regulatory obligations
Support implementation of governance frameworks, board sub-committees
Ensure business implementation of board resolutions and action items
Manage director onboarding (induction packs), training and declaration
Your Profile
Education / Qualification : Law Degree and Qualified Attorney
University Graduate: Yes
Masters/PhD: optional
Training: Relevant local law qualification to act as legal counsel in house.
General Ability:
Broad knowledge of corporate & commercial law
Advanced negotiation and stakeholder management skills
Understanding of compliance frameworks and risk management
Ability to operate in a fast-paced, matrixed organization
High integrity and ability to influence at senior levels
Critical Skills: Fluent English and relevant language
Critical Experience: 8 -12 years experience as legal counsel including 5 years internal counsel to a multi-national corporation. Preferably FMCG experience gained in different countries / regions.
